YTO Express Service Agreement (“Agreement”)

You, as “Shipper”, shall read this Agreement carefully before consignment. This Agreement shall come into effect from the date when the Shipper signs on the front of this waybill. “Shipment” means all documents or parcels that travel under one waybill. YTO has the right to choose any suitable transport modes such as air, road or any others. Also, YTO has the right to subcontract any of its services under this Agreement. “YTO” refers to Yuantong Express Co., Ltd., its subsidiaries, and their respective employees, agents and contractors.

  1. Shipper’s Warranties and Indemnity

    Shipper shall indemnify and hold YTO harmless for all claims, damages, losses, fines and expenses arising out of Shipper’s failure to comply with any applicable laws or regulations and for Shipper’s breach of the following warranties and representations:
    all information (including but not limited to information required for custom clearance) provided by Shipper is complete, true and accurate;
    the Shipment is properly marked and addressed and packed to ensure safe transportation and warehousing;
    all applicable customs, import, export and other laws and regulations have been complied with;
    the Shipment does not require any temperature control or special treatment during the transportation;
    the weight does not exceed 50KG(or 110 lbs.); the unilateral length of the parcel does not exceed 150cm;and the sum of the length, width and height of the parcel does not exceed 300cm;
    the Shipment is acceptable for transportation and does not belong to any of the followings:(1) hazardous material, dangerous goods, prohibited or restricted articles by IATA (International Air Transport Association), ICAO (International Civil Aviation Organization), or any applicable government department or other relevant organization; (2) no customs declaration can be made when required by applicable customs regulations; (3) any other items which YTO decides, at its sole discretion, cannot be carried safely or legally (such items include but are not limited to: counterfeit goods, animals, currency, precious metals and stones, firearms, explosives and ammunition; human remains, pornography or illegal narcotics/drugs ).

  2. Right to Inspect

    YTO has the right to open and inspect a Shipment without notice to the Shipper at the request of government authorities or in emergency situations which may affect the public interest.

  3. Shipment Charges and Payment

    YTO’s shipment charges are calculated according to the higher of actual or volumetric weight and any Shipment may be re-weighed and re-measured by YTO to confirm this calculation.
    Shipper shall pay or reimburse YTO for all Shipment charges, warehousing charges, duties and taxes owed for services provided by YTO or incurred by YTO on behalf of Shipper, Receiver or any third party.

  4. Deliveries and Undeliverable

    Shipments are delivered to the Receiver’s address given by Shipper, but not necessarily to the named Receiver personally. Shipments to addresses with a central receiving area will be delivered to that area.
    If Receiver refuses the delivery or to pay for the delivery; or the Shipment is deemed to be unacceptable; or it has been considered undervalued by customs; or Receiver cannot be reasonably identified or accessed, YTO shall use reasonable efforts to return the Shipment to Shipper at Shipper’s costs. If failing to return the Shipment, YTO has the right to release, dispose or sell the Shipment without incurring any liability whatsoever to Shipper or anyone else, with the proceeds applied against service charges and related administrative costs and the balance of the proceeds of a sale to be returned to Shipper.

  5. YTO’s Liability

    Where the Warsaw Convention, or the Montreal Conventions, or the Convention on the Contract for the International Carriage of Goods by Road (CMR) (hereinafter collectively referred to as “Convention Rules”) is applicable, the Conventions Rules shall prevail. Where the Convention Rules are not applicable, the liability of YTO is strictly limited to the actual cash value in respect of each Shipment, but shall be not more than USD 100 per Shipment.
    All claims must be submitted in writing to YTO within thirty (30) days from the date when YTO accepted the Shipment. Otherwise, YTO shall have no liability.
    Claims are limited to one claim per Shipment, and the settlement of the claim shall be taken as the full and final settlement for all loss or damage in connection there with. If Shipper regards these limits as insufficient, Shipper must make its own insurance arrangements. Otherwise Shipper shall bear all risks of loss or damage. YTO can arrange insurance for Shipper covering the actual cash value in respect of loss of or physical damage to the Shipment; provided that the Shipper completes the insurance section on the front of the waybill or requests in other means and pays the applicable premium.

  6. Governing Law

    The existence, validity, enforcement of this Agreement, and any dispute arising out of or in connection with this Agreement shall be governed by the laws of the country of origin of the Shipment.

圆通快递服务协议(以下简称本“协议”)

寄件人在托运货物前,请仔细阅读本协议。本协议自寄件人在本运单上签字之日起生效。本协议所称快件,是指一份运单项下所涉及的所有文件或包裹。圆通有权以其认为合适的路线,包括空运、陆运或其他任何方式运输该快件。圆通有权分包或转包本协议项下任何服务。“圆通”均指圆通速递有限公司、旗下控股子公司,及其雇员、代理人和承包商。

  1. 寄件人保证

    如寄件人违反有关法律法规或违反以下陈述与保证,应由寄件人负责赔偿,使圆通免于任何由此引发的赔偿、损失、损害、罚款和相关费用:
    寄件人保证其提供的所有信息(包括但不限于报关所需文件)都是完整、真实并准确的;
    货物所有标识完整准确、地址清晰、包装妥当,符合运输的要求及仓储保管的要求;
    符合有关海关和进出口的规定,以及其他法律法规的规定;
    托运快件不需要温度控制或其他特殊处理;
    重量不大于50KG(或110磅),或者包装规格任何一边长度不超过150CM、或者长宽高三边之和不超过300CM的快件;
    寄件人保证其交运的快件是可运输的,并不属于: (1) 国际航空货物协会(IATA),国际民用航空组织(ICAO)及其他相关政府部门或组织所规定的有害物品、危险物品、以及属于禁运或限运的物品; (2) 不能按照有关海关规定办理报关手续的物品;(3) 圆通认为不能安全、合法运输的物品(包括但不限于:仿冒品、动物、货币、贵重金属和矿石、武器、弹药、尸体、色情物品和非法的麻醉药品/毒品)。

  2. 查验权利

    圆通有权依据政府部门要求或在可能影响公共利益的紧急情况下对快件进行开封查验而无须通知寄件人。

  3. 费用和付款

    圆通的运费将按照快件实际重量计算标准和体积计算标准两者中较高的计算,圆通可以对任何货物重新称重和测量以确认其计算数据。
    寄件人应向圆通支付或返还运输服务中由圆通自身收取或代表寄件人、收件人及任何第三方所发生的所有运费、仓储费、关税等税费。

  4. 派送和无法派送

    快件将按寄件人提供的收件人地址派送,但不一定直接送达收件人本人。如果收件人的地址设有集中接收点,快件将被派送到该接收点。
    有以下情形之一的,圆通将以合理的努力将快件退还寄件人,因此额外发生的费用由寄件人支付:收件人拒绝接收快件或支付运费;该快件被认为是不可接受的;海关认为寄件人低报了快件的价值;无法合理确定或找到收件人,如不能退还,圆通可以对快件进行放弃、处置或变卖;且不就上述行为向寄件人或其他人承担任何责任,所得收入将在扣除相关管理费以及处理费用后返还寄件人。

  5. 圆通责任

    在《华沙公约》、《蒙特利尔公约》或《国际公路货运公约》(CMR)(简称“公约规则”)适用的情况下,公约规则优先适用。在公约规则不适用的情况下,圆通所承担的全部赔偿责任不超过快件实际现金价值,且每一运单最高赔偿不超过100美金。
    任何索赔必须在圆通接受快件后30天内以书面方式向圆通提出,否则圆通不再承担任何责任。
    每一快件只能提出一次索赔,且该赔偿将作为对快件损失及损害的全部和最终的解决方案。如寄件人认为本协议关于赔偿的规定不足以弥补其损失,则应对快件的价值做出特别声明并按要求购买保险,否则寄件人将承担一切损失和损害的风险。如寄件人在运单的正面填好保险或通过其他方式提出代为投保的要求并支付相关保险费,圆通可以为寄件人按照快件的实际现金价值就快件的丢失或毁损进行投保。

  6. 法律适用

    本协议的订立、效力、执行及其争议的解决均适用发件所在地法律。
