Service Agreement on the “Procurement Information Questionnaire of Overseas Professional Visitors” System of China International Import Expo

The Service Agreement is applicable to the User (hereinafter referred to as “the User”) of the “Procurement Information Questionnaire of Overseas Professional Visitors” system (hereinafter referred to as “Questionnaire System”). Please read the User Agreement carefully and after clicking the button of “Agree and Continue”, the User is deemed to accept and agree to abide by the Agreement.

I. Confirmation and Acceptance of the Service Terms

1. I confirm that the terms of the Agreement are the basis for clarifying my rights and obligations, and are always valid, but if there are other mandatory provisions of the laws or special agreements between the two parties, such provisions or agreements shall prevail.

2. The contents of the Service Agreement include the main body of the Agreement and all rules that have been issued or will be issued by the Questionnaire System. All rules are integral parts of the Agreement and have the same legal effect as the main body of the Agreement.

3. The Questionnaire System has the right to modify the “terms” of the Agreement as appropriate according to the business needs, and update them in the form of website announcements, and will not notify the User separately. If the User disagrees with the updated contents in the website announcements, he/she has the right to deregister the related services. If the User does not deregister the related services or continues to use the related services, he/she is deemed to agree with and accept the modification. In the event of a dispute between the User and the Questionnaire System, the latest “terms” shall prevail.

II. Account Security

After successfully login, the User can change the password in accordance with the Questionnaire System rules. The User shall save and use the account information prudently and reasonably, and be held accountable for all activities under the user name and password (including but not limited to information disclosure, information release, clicking of “Agree” or submission of rules and agreements).

III. Rights and Obligations of the User

1. The User has the right to log in, modify and update their relevant information on the Questionnaire System pursuant to the provisions of the Service Agreement and the relevant rules issued on the Questionnaire System.

2. The User has the obligation to ensure that the information provided to the Questionnaire System is complete, true, accurate and free from any material omission or concealment, and the User is also obliged to keep confidential any information provided by the Questionnaire System and not to disclose it to any third party.

3. The Agreement is based on relevant national laws, regulations and rules, and the User agrees to strictly abide by the following obligations:

3.1 The User shall not transmit or release any remarks that incite resistance to the implementation of the Constitution, laws and administrative regulations, subversion of the national power and overthrow of the socialist system, division of the country and destruction of the national reunification, national hatred, national discrimination and undermining of national solidarity;

3.2 Transmission of data and information from the Chinese mainland to other countries/regions must comply with the relevant laws and regulations of China;

3.3 The User shall not use the Questionnaire System to engage in illegal and criminal activities such as money laundering, stealing commercial secrets and personal information. The transactions reached with the matchmaking enterprises after negotiation shall not involve counterfeit items, obscenity, drugs, weapons or other illegal items, and the User shall not discuss or spread how to evade laws and compliance reviews;

3.4 The User shall not interfere with the normal operation of the Questionnaire System, and shall not intrude into the System and the national computer information system;

3.5 The User is prohibited from transmitting or releasing any illegal or criminal information and information related to harassment, slander, abuse, intimidation, hurt, vulgarity, obscenity, or uncivilized information;

3.6 The User shall not transmit or release information or remarks that impair the public interest of the country and involve national security;

3.7 The User shall not abet others to engage in any act prohibited by the Article;

3.8 Except for the Service Agreement, other terms or other agreements, the User shall not use the account of the Questionnaire System to conduct business activities, profit-making activities and other behaviors not permitted by the System.

IV. Rights and Obligations of the Questionnaire System

1. The Questionnaire System is only for collecting the User’ intended procurement information, and reminds the User to fill in relevant information daily and timely in the Questionnaire System on time.

2. Normal operation of the Questionnaire System will be maintained with the existing technology and efforts to improve the technology will be made to deliver the User convenient, fast and smooth experience in filling in information. However, the Questionnaire System will not be held accountable for short-time network interruption caused by data maintenance, update and other reasons.

3. If the User fails to comply with the above obligations, the Questionnaire System has the right to suspend his/her authority to use the System, and reserves the right to hold the User accountable.

V. Service Termination

1. Service termination

(1) The User agrees that the Questionnaire System may terminate the User’s “service” password, account or use of the “service” based on reasonable grounds and with e-mail notice.

(2) The User has the right to request the Questionnaire System to cancel the account. After the account is cancelled, the Questionnaire System has no obligation to retain or disclose any information in the account for the User, and has no obligation to forward any information that has not been read or sent to the User or any third party.

(3) The User understands and agrees that the Questionnaire System has the right to keep the information of the User after the account of the Questionnaire System is cancelled.

VI. Privacy

The Questionnaire System will not sell or lend the User’s information to anyone unless the user’s prior permission is obtained. It does not allow any third party to collect, edit, sell or disseminate the User’s information free of charge by any means either. However, the Questionnaire System draws the User’s attention to that once the User discloses information on the Questionnaire System, such information may be obtained and used by other persons, and the information may be disclose in part or in whole under the following circumstances:

Disclose to third parties with the consent of the User;

If the party concerned is a qualified intellectual property complainant and has filed a complaint, it will disclose the information to the respondent at his/her request, so that both parties can handle possible rights disputes;

Disclose to third parties or administrative or judicial bodies in accordance with the relevant provisions of the laws or the requirements of the administrative or judicial bodies;

It is necessary to disclose to third parties according to the User’s violation of relevant laws of China or website policies;

Other circumstances where the Questionnaire Systems deems appropriate to make disclosure pursuant to laws or website policies.

VII. Notice

The User shall accurately fill in and update in time the e-mail, telephone number, contact address and other contact information provided. The User understands and agrees that he/she has the obligation to maintain the availability of the contact information provided.

VIII. Application of Laws, Jurisdiction and Miscellaneous

1. The validity, interpretation, alteration, execution and dispute settlement of the Agreement shall be subject to the laws of the People’s Republic of China (excluding Hong Kong, Macao and Taiwan for the purpose of the Agreement). If there are no relevant provisions of laws, the general international commercial practices and/or industry practices shall be referred to.

2. Any dispute arising from the Service Agreement shall be settled through friendly negotiation.
