Exhibitor-Businessman Supply-Demand Matchmaking Conference of China International Import Expo Agreement

The two parties to this Service Agreement are "Exhibitor-Businessman Supply-Demand Matchmaking Conference of China International Import Expo " (hereinafter referred to as the "Matchmaking Conference"; its name and abbreviation are both temporary, and will be revised together after finally determined) and a registered user of the Matchmaking Conference (hereinafter referred to as the "Registered User"). The terms and conditions set forth in this Service Agreement apply to the Registered User's use of various tools and services provided by the Matchmaking Conference the registered user. Please carefully read this User Agreement. By clicking the "Agree and Continue" button, you accept and agree to comply with this Agreement.

I. Confirmation and acceptance of the service terms

1. The ownership of and right to operate various services available on the Matchmaking Conference lie with Bank of China Limited. Your company confirms that the terms hereof constitute basis of the rights and obligations of the two parties and will stay valid, unless otherwise compulsorily provided by law or specially agreed upon by the two parties.

2. This Service Agreement includes the body hereof and all of various rules already published or to be published by the Matchmaking Conference. All rules are integral components of the Agreement and have the same legal force as the body of the Agreement.

3. The Matchmaking Conference has the right to, in light of business needs, revise the "Terms" at its own discretion, and to update the Terms by posting the revised Terms on the website without any further notice to your company separately. Upon being published on the Matchmaking Conference, the revised "Terms" will take effect. If your company does not agree to relevant revisions, please stop using the "Services" immediately. Continual use of the "Services" will be deemed your company's acceptance of the revised "Terms". In case of a dispute between your company and the Matchmaking Conference, the latest "Terms" shall prevail.

II. Account Security

Successful login will result in a user name, a password and other account information, and the password can be changed according to the regulations of the Matchmaking Conference. You shall prudently and reasonably keep and use your company's account information, and must be liable for all activities that occur under the user name and password (including but not limited to, disclosure or release of information, clicking “agree” or “submit” to accept any rules or agreements online). You agree: 1. to immediately inform the Matchmaking Conference in the event that you discover any unauthorized use of your company's user name and password or any other situation that constitutes a breach of the confidentiality provisions; and 2. to correctly log out the website at the end of each online operation session. The Matchmaking Conference cannot and will not be responsible for any loss or damage incurred as a result of your failure to comply with this provision. You understand that it requires a reasonable period for the Matchmaking Conference to take action in response to your request, and that the Matchmaking Conference will not be liable in any way for the consequences that have occurred before it takes such action (including but not limited to any of your company's losses). Unless there are legal provisions or judicial decisions and with the consent of the Matchmaking Conference, your company's user name and password may not be assigned, bestowed or inherited in any manner.

III. Rights and Obligations of the Registered User

1. Your company has the right to, according to the provisions of this Service Agreement and relevant rules published on the Matchmaking Conference, use the Matchmaking Conference to login, revise and update relevant information of your company, do business with other companies freely, and enjoy relevant information service provided by the Matchmaking Conference and the right to participate in various matchmaking activities.

2. Your company has the right to retain third-party professional agencies to investigate and verify the enterprise which your company has been matched with, and to independently make a business judgment and decision as to whether conclude a transaction with that enterprise, and your company is willing to bear relevant risks. The judgment and decision of your company do not reply on any introduction, representation, statement, guarantee or recommendation on the Matchmaking Conference, and your company will not, as a result of such judgment and decision, make any compensation claim, request or various indemnification or fee requests related thereto against Bank of China Limited.

3. Your company has fully learned about in advance the services provided by the Matchmaking Conference, and is willing to accept those services on the basis of independent investigation and independent judgment; your company allows Bank of China Limited to, when providing the cross-border matchmaking service, provide your company's information for the domestic and overseas branches of Bank of China Limited, companies affiliated to Bank of China Limited, third-party service agencies, overseas business associations and related enterprises, and allows Bank of China Limited to reasonably use relevant information for the purpose of the cross-border matchmaking service.

4. Your company is obligated to ensure that the information provided for the Matchmaking Conference is complete, true and accurate, and does not omit or conceal any material fact; your company is obligated to keep confidential and not to disclose to any third party any information made available by the Matchmaking Conference.

5. Your company is responsible for the physical safety of the persons assigned by your company to participate in on-site investigations or negotiations and for the safety of their property. If any accident occurs, your company will not hold Bank of China Limited liable therefor; your company agrees to comply with the relevant laws and statutes of the People's Republic of China and the other country / region where the cross-border matchmaking activity is held, and comply with the tourist service agreement. Your company shall be liable for all consequences of violating the foregoing provisions.

6. Your company agrees that, if your company and another enterprise which your company has been matched with intend to conclude a transaction, your company will preferentially choose the domestic and overseas branches of Bank of China Limited, and companies affiliated to Bank of China Limited for subsequent services for the transaction, such as financing and financial consulting. With respect to the specific matters related to the subsequent services, the two parties shall enter into further negotiations and sign an agreement.

7. You agree to open a corporate account with a domestic or overseas branch of Bank of China Limited and to carry out business cooperation so that the cross-border matchmaking service can be rendered and the two parties can know each other better.

8. Your company clearly know that, for the cross-border matchmaking service, it is possible that the portraits of your company's employees will be gathered or their names will be used for internal archiving, promotion and other purposes. Your company will obtain their consent before assigning employees to participate in cross-border matchmaking service activities. If as a result there occurs any dispute between an employee and Bank of China Limited, your company undertakes to bear any liability.

9. Your company knows that Bank of China Limited will invest time, money, human resources, etc. for providing the matchmaking service, and undertakes to cooperate with various activities arranged by the Matchmaking Conference. If your company refuses to participate in a relevant activity without a due cause, your company will bear relevant loss or losses, and understand that the Matchmaking Conference will have the right to reject your company's applications to participate in other matching service activities.

10. This Agreement has been prepared based on relevant national laws, statutes, rules and regulations. Your company agrees to strictly comply with the following obligations:

10.1 Your company shall not spread or make any remarks which instigate defiance and undermine implementation of the Constitution, the laws or administrative statutes, remarks which instigate subversion of the government and the socialist system, remarks which instigate secession of any region from the country and undermine the unity of the country, or remarks which instigate ethnic hatred, ethnic discrimination and undermine the solidarity among the ethnic groups;

10.2 Your company must comply with the provisions of relevant laws of China when transmitting information from Mainland China to other countries and regions;

10.3 Your company shall not use this website to carry out illegal and criminal activities, such as money laundering, stealing of business secrets and stealing of personal information;

10.4 Your company shall not interfere with normal operation of this platform, or hack into this platform or the national computer information system;

10.5 Your company shall not spread or publish any illegal, criminal, harassing, slanderous, abusive, threatening, hurtful, vulgar, filthy or uncivil information, etc.;

10.6 Your company shall not spread or publish information or remarks undermining the national or public interest and concerning national security;

10.7 Your company shall not instigate others to do the acts prohibited by this article;

10.8 Your company shall not use the account registered on this platform for operating activities, profit-making acts or other acts not permitted by this platform, except as otherwise stipulated by this Service Agreement or other articles or otherwise agreed upon.

IV. Rights and Obligations of the Matchmaking Conference

1. The Matchmaking Conference only provides the Registered User with matchmaking services, such as information display and conversation services, but it is not a direct participant of any business transaction, cannot ensure the legitimacy, authenticity, accuracy, timeliness and validity of the Registered User and relevant information, or the ability of the parties concerned to perform miscellaneous obligations under the agreements, and cannot and will not control the parties' performance of their obligations under the agreements. However, the Matchmaking Conference will take measures to supervise and assess the Registered User, and remind the Registered User to determine the company the Registered User is to be matched with and that company's credit standing through its own prudent judgment.

2. The Matchmaking Conference will maintain normal operation of the entire service platform through the existing technologies, and endeavor to improve the technologies so that the Registered User can conveniently, quickly and smoothly carry out matchmaking activities, but the Matchmaking Conference is not in any way liable for network failure for a short period which results from data maintenance, updating or the like.

3. In respect of various problems encountered by and the matters informed by the Registered User of the Matchmaking Conference when registering with or using the Matchmaking Conference, the Matchmaking Conference shall timely give replies.

4. For improper acts or illegal acts performed on the Matchmaking Conference or any other situations where the Matchmaking Conference deems it appropriate to terminate the services, the Matchmaking Conference has the right to, at any time, delete relevant information, terminate services and take other measures without consent from the Registered User of the Matchmaking Conference.

5. The Matchmaking Conference has the right to check and assess the information of the Registered User, and, if it identifies any problem with the registration information or finds that the registration information is doubtful, the Matchmaking Conference has the right to send to the Registered User an inquiry and a notice requesting correction, or to directly delete corresponding information.

V. Termination of Services

1. Termination of services

(1) Your company agrees that the Matchmaking Conference may terminate your company's "Service" password, or terminate your company's use of Services for any reason at its own discretion, provided that Bank of China Limited has not charged your company any fees. Your company agrees that, if Bank of China Limited has charged you any fee, the Matchmaking Conference’s termination of services as described above shall be based on reasonable suspicion and with prior notice via e-mail.

(2) Your company has the right to request the Matchmaking Conference to terminate your company's account, and subject to the Matchmaking Conference’s approval, your company's account will be terminated. In this circumstance, your contractual relationship with Bank of China Limited based on this Agreement will be terminated. Upon termination of the account, the Matchmaking Conference is not obliged to retain or disclose to your company any information in the account or forward any unread or unsent message to your company or any third party.

(3) Your company understands and agrees that upon termination of the contractual relationship between your company and Bank of China Limited:

a. The Matchmaking Conference has the right to retain your company's information;

b. Bank of China Limited has the right to claim against your company in accordance with this Agreement, for any illegal act or breach of this Agreement and/or rules during your company's use of the services;

c. Your company's relationship with other users resulting from your company's use of the services will not be terminated due to the termination of this Agreement. Such users will have the right to make claims and your company shall continue to perform obligations as agreed.

VI. Expenses

Your company understands that, to perform its social responsibility, Bank of China Limited does not charge a service fee for its matchmaking service for the time being, provided, however, that, subject to prior consent, it legally retains the right to charge relevant fees; your company agrees to bear all third-party expenses related to the matchmaking service, including but not limited to visa, meeting, travel, translation, printing, communication as well as board and lodging expenses.

VII. Use License

Your company fully understands and agrees to irrevocably grant Bank of China Limited the following rights:

With respect to the information your company provides, your company grants Bank of China Limited an exclusive, worldwide, permanent, royalty free license (which is sub-licensable at various levels) so that Bank of China Limited has the right to (in whole or in part) use, reproduce, modify, adapt, publish, translate, distribute, execute and display "Your Company's Information" or produce derivatives, and/or incorporate "Your Company's Information" in other works in any form, media or by any technology known now or developed in the future.

VIII. Limitation of Liability and Disclaimer of Warranties

1. Given the nature of the services provided by the Matchmaking Conference, the Registered User information (including but not limited to company name, basic information, operation information, product advantages and cooperation information) is entirely provided and uploaded by the Registered User, who is legally responsible for all information provided and uploaded by the Registered User.

2. Unless otherwise specified, the Matchmaking Conference and all information and services contained by or otherwise made available to your company by the Matchmaking Conference are provided on an “as is” and “as available” basis.

3. Unless otherwise specified in written form, Bank of China Limited makes no representation or warranty of any kind, express or implied, as to the operation of the Matchmaking Conference and the information, contents, materials or services contained in this platform (unless otherwise provided by the laws of the People's Republic of China).

4. Bank of China Limited does not warrant that all information, contents, materials and services contained by the Matchmaking Conference or otherwise made available to your company via this platform, and the emails and information sent from the server or this website are free of viruses or other harmful components.

IX. Privacy

Notwithstanding the use license provided in Article VIII above, the Matchmaking Conference will not sell or lend to anyone the Registered User's information, unless with prior consent from the Registered User, nor will it allow any third party to, in any way, gather, edit, sell or transmit for free the Registered User's information. The Matchmaking Conference requests the Registered User to note that once the Registered User voluntarily discloses registration information on the Matchmaking Conference, it is possible that such information will be accessed and used by other persons; in addition, it is possible that the registration information will be disclosed in whole or in part under the following situations:

Disclosure to third parties with the consent of the Registered User;

Disclosure to the party against whom a complaint has been filed, at the request of such party, if a party is a qualified intellectual property right complainant and has filed a complaint, so as to facilitate handling of possible right disputes by the two parties;

Disclosure to third parties or administrative and judicial authorities according to the relevant provisions of the laws or requirements of administrative or judicial authorities;

Disclosure to a third party which is necessary due to the Registered User's violation of the relevant laws of China or policies of the website;

Registration information of the Registered User must be shared with a third party for the purpose of provision of the matchmaking service required by registered suppliers;

Other disclosures deemed appropriate by the Matchmaking Conference in accordance with the law or policies of the website.

X. Notices

1. Your company shall fill in accurately and keep up-to-date your company's contact information, including email address, telephone and contact address, so that your company may be contacted by the Matchmaking Conference and other users. If your company cannot be contacted through such contact information and thus incurs any losses or additional costs during your company's use of the services provided by the Matchmaking Conference, such losses or costs shall be solely borne by your company. Your company understands and agrees that your company is obliged to maintain the effectiveness of the contact information provided by your company and in case of any modification thereof, your company shall modify such information in accordance with the requirements of the Matchmaking Conference.

2. Notices shall be sent by email or other ways agreed upon by both parties. Any notice by email shall be deemed delivered twenty-four (24) hours after the email is sent. The Matchmaking Conference also may send the notice by prepaid registered mail with receipt requested to the address provided by the Registered User to the Matchmaking Conference during registration, in which case the notice shall be deemed delivered three (3) days after posting.

XI. Force Majeure

Bank of China Limited shall not be liable for the Matchmaking Conference's delay or failure in performance in whole or in part as a result of reasons beyond the reasonable control, including but not limited to earthquakes, typhoons, water disasters, wars, terrorist activities, riots, strikes, adjustments to national industry policies, governmental actions, failure in network communication, reasons on the part of network suppliers, hacker attacks and other force majeure events.

XII. Governing Laws, Jurisdiction and Miscellaneous

1. The validity, interpretation, amendment and performance of and settlement of disputes over this Agreement shall be governed by the laws of the Mainland of the People’s Republic of China. In the absence of relevant legal provisions, the generally accepted international business practices and/or industry practices shall apply.

2. The two parties shall resolve the disputes arising out of this Service Agreement through friendly negotiations, failing which they shall bring a lawsuit to a people’s court in the place where Bank of China Limited is located.

3. This Agreement shall supersede any written or verbal agreements executed by and between your company and Bank of China Limited with respect to the same matter. If any provision of this Agreement is held invalid or unenforceable, such provision shall be deleted, and the other Terms shall be observed and enforced. Headings of the provisions are included for convenient reference only and shall not define, limit, construe or describe the scope or extent of such provisions.
